Please read these Terms and Conditions (“Terms”) carefully before using MediRydes NEMT Software. These Terms govern your access to and use of our software and constitute a legally binding agreement between you and MediRydes. By accessing or using our NEMT software, you agree to be bound by these Terms. If you disagree with these Terms, please don’t use our software.
You must be at least 18 years old and have the legal capacity to enter into a contract to use our software. Using our software, you represent and warrant meeting these eligibility requirements.
Subject to your compliance with these Terms, MediRydes grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our NEMT software for its intended purpose.
(a) Use our software for any unlawful or unauthorized purpose;
(b) Violate any applicable laws, regulations, or third-party rights;
(c) Interfere with or disrupt the integrity or performance of the software;
(d) Attempt to gain unauthorized access to our software or related systems,
(e) Modify, adapt, translate, reverse engineer, or create derivative works of our software;
(f) Use our software to transmit viruses, worms, or other malicious code;
(g) Use our software in a manner that could harm MediRydes’ reputation or business interests.
Account Creation: To access certain features of our software, you may be required to create a user account. Please remember that you agree to provide accurate and complete information when creating your account and update your account information as soon as possible.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Please inform us of any unauthorized access to or use of your account.
Account Termination: We reserve the right to suspend or terminate your account at any time, for any reason, without notice or liability.
All intellectual property rights in our NEMT software, including but not limited to copyrights, trademarks, and trade secrets, are owned by MediRydes or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use our software solely for its intended purpose. You may not use, reproduce, distribute, or modify our software except as expressly authorized by these Terms.
Our NEMT software is provided on an “as-is” and “as-available” basis without any warranties or representations, express or implied. MediRydes disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, MediRydes and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of our software.
You agree to indemnify, defend, and hold harmless MediRydes and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of our software or your violation of these Terms.
Modifications and Termination
MediRydes reserves the right to modify, suspend, or terminate the availability of our NEMT software at any time without notice or liability. We may also update these Terms occasionally, and your continued use of the software after any modifications is your acceptance of the updated Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed under the laws of [Insert Jurisdiction]. Any disputes that arise out of or relating to these Terms or your use of our software will be subject to the exclusive jurisdiction of the courts of Linn County, Iowa.
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms constitute the entire agreement between you and MediRydes regarding the subject matter herein and supersede all prior or contemporaneous agreements, understandings, or representations.
